Every LLP shall have a registered office to which or to another office all communications and notices shall be delivered or sent by post by certificate of posting or by registered post or by any other manner prescribed in the rules, namely by electronic transmission or by courier.

Notice of location of registered office shall be given to the registrar in form 15 within 30 days of getting the consent of all the partners for changing the registered office if there is no provision for such change in the LLP agreement. This procedure is for changing the registered office within the state.

 A LLP may change the registered office address you must mention any other address for service of documents if it is mentioned in the LLP agreement.

The intimation of other address for service of documents to LLP shall be given to the registrar in Form 12 along with fee as prescribed in Annexure ‘A’ within 30 days of receiving consent from all the partners were necessary.

Change of place of registered office

The LLP may change its registered office from one place to another they follow the procedures in LLP agreement. If there is not any conditions in the agreement, you must ask permissions of all partners for changing the place of the registered office.

For changing of a registered office within the state, the LLP provide in Form No.15 shall to the registrar within 30 days.

Requirement as to name of LLP

  • No LLP shall be registered by name which, in the opinion of the central government is:
  • Undesirable or
  • Identical or too nearly resembles the name in the country of any other:
  • Partnership firm
  • LLP
  • Body corporate
  • Or a registered trademark or trademark under consideration.

Application for reservation of name or for change of name later on

The promoter of a LLP may make an application to the ROC in Form 1 of the rules and with fee prescribed in Annexure ‘A’ mentioned in the application. If the name is in order, the Registrar may reserve the name and inform the applicant within 7 days of receipt of the application.

Reservation of name valid for 3 months

The reservation of name will be valid for 3 months from the date of intimation of registrar.

Change of name as ordered by the central government

Where the central government comes to know that through inadvertence or otherwise a LLP has been registered with a name or has changed its name:

Which name is undesirable as stated in section 15(2) (b) or

Which is identical with the name of any other LLP, the central government may direct the LLP concerned to change its name.

Action by the LLP as regards change of name

When a LLP is directed by the central government as stated above, the LLP shall take steps to apply to the registrar in Form 1 for reservation of a new name with fee as in Annexure ‘A’ to the rules as per procedure outlined above. The LLP may changes its name within ninety days from the date of the direction from the central government.

Compliant to registrar by an existing LLP of infringement of its name

Where a LLP or any other entity finds that a LLP subsequently registered has a name similar to itself, it may apply to the registrar in form 23 with a fee as in Annexure ‘A’ to direct the latter LLP to change its name. Such intimation to the registrar shall be made within 24 months of your LLP registration. The latter LLP shall take steps to change its name by first making an application to the registrar for reservation of a name as already explained.

Application to registrar by complaining LLP or other entity already registered

The CIN of the company or LLPIN or LLP or the registration number of the other entity.

The name with which any of the above was incorporated.

The name of LLP grounds of its objection is incorporated subsequently

The application shall be properly validated. The following documents will be attached:

  • The control under which he is making the application and
  • The applicant registration certificate copies.

Change of name to be registered with the registrar

Where a LLP has changed its name in response to the direction of the central government or registrar by following the procedure explained in serial number 1, 2, or 3 above. The LLP shall file notice of change to the registrar in form 5 on payment of fee as prescribed within 30 days of receiving the direction. If the LLP agreement provides for such a change. If the LLP does not have any provision, the consent of all the partners is required for changing the same and notice will be given to the registrar within 30 days of getting the consent.

Penalty for contravention

If any person carries on business under any name consisting of the words “Limited Liability Partnership” or any contraction or imitation thereof without duly incorporating it under the LLP act, the person or persons responsible shall be punishable with fine between Rs.50000 and 5 lakhs.
